The Memorandum of Association (प्रबन्ध पत्र) is the document that brings your company into existence. It faces outward: it tells the Office of Company Registrar, your bank, and anyone dealing with you what the company is and what it is allowed to do. The Articles of Association, by contrast, face inward and govern how the company runs.
Under the Companies Act 2063, the MOA of a private limited company must state the company’s name and registered office, its objectives, the authorised and issued capital and how it is divided into shares, the liability of shareholders, and the details of each promoter with the shares they take.
Most founders skim the objectives and regret it. Your company may only carry on the activities its objectives cover. Adding an unrelated line of business later means amending the MOA at the OCR — a filing, a fee and a wait — and licensing authorities will check that your registered objectives match whatever licence you are applying for. Write the objectives wide enough to cover what you plausibly might do, not just what you are doing in month one.
